GENERAL
Unless otherwise stated in writing by the Company these conditions
of contract, which are applicable to secretarial services only, shall
apply.
The purchaser agrees that these conditions shall govern the
relationship
between himself and the Company to the exclusion of any other
conditions,
terms or warranties.
MINIMUM ORDER VALUE
A minimum invoice value will be £8.50 exclusive of VAT.
Any order which compiles to a value of less than the minimum order
value,
will be rounded up to that value. The Company reserves the right
to waive this term for on-going Purchasers.
ACCEPTANCE OF ORDER
Written quotations will be provided on request. Formal acceptance
of a quotation must reach the company within 14 days of the quotation
unless
the quotation specifies an alternative period. The Company
reserves
the right to accept or reject any order at its discretion. Where
a formal quotation has not been made, a formal request must still be
made.
A formal acceptance or request may be sent by letter, fax, Email or
order.
PRICE CHANGES
We reserve the right to change our prices without notice.
COMPLETION PERIOD
The completion period stated in the quotation shall commence from the
date on which the company receives confirmation of order. Unless
otherwise stated, the period quoted is an estimation only.
LIMITATION OF LIABILITY
The company shall not be held responsible for loss, damage or delays,
arising out of any cause or contingency whatsoever beyond the control
of
the Company. Although the company shall take all reasonable care
in the execution of producing documents and other works, the Company
shall
not be held responsible for any omissions, errors or misjudgements in
any
such documentation, or any consequences resulting from such omissions,
errors or misjudgements.
The Company shall not be held responsible for the end use of any
document,
however produced or processed by the Company. It shall be the
responsibility
of the Purchaser to ensure that any document does not invoke breach of
legal requirements, wheresoever the document be used, including
copyright,
plagarism and libel.
The Purchaser is advised to select and use an appropriate method of
transfer for original documents.
CORRECTION OF ERRORS
Any errors found in documents will be rectified free of charge
providing
they are brought to our attention within 7 days of completion or within
1 calendar month for work of more than 5000 words.
PAYMENT DEPOSIT
For Purchasers who are individuals, the Company requires a payment
deposit of 30% of the order value with the order. The Company
reserves
the right to waiver this term when a Purchaser has established a record
of good payment.
DELAYED PAYMENTS
Standard terms of payment, unless stated otherwise in writing by the
Company, are cheque upon completion or, for ongoing contracts, cheque
within
30 days of monthly-issued invoice. If payment of any sum payable
shall be improperly delayed by the purchaser, additional invoice(s)
shall
be issued at calendar-monthly intervals to include interest at the rate
of 5% of the amount of the delayed payment in addition to a fixed
administration
charge of £20.00 per invoice.
NORMAL OFFICE HOURS
All costs relating to work carried out by the Company are based upon
the work being completed during normal office hours (9am to 5pm, Monday
to Friday). All requirements for working outside of these hours
shall
be at the discetion of the Company. The Company reserves the
right
to make a surcharge for any such requirements.
POSTAGE
Completed works which are to be delivered using the UK postal service,
shall normally be scheduled onto the first-class system. Use of
courier
or other more effective services shall be used only at the specific
request
of the Purchaser and shall be additionally charged.
FORCE MAJEURE
If, by reason of cause beyond the control of the Company, completion
hereof is delayed, the purchaser shall grant prospectively or
retrospectively
such extension of time for completion as is reasonable in the
circumstances.
TRANSFER OF OWNERSHIP
The property in goods supplied by the Company pursuant to the contract
shall not pass until they have been paid for in full. The right
of
the Purchaser to retain, use, copy or modify the goods shall not arise
until the property has passed hereunder and the Company shall be at
liberty
to repossess the goods forthwith if the Purchaser or any party on whose
behalf he is acting shall have a receiver appointed over any of its
assets
or its undertakings or a winding-up order shall be made against it or
it
goes into voluntary liquidation (other than for the purpose of
reconstruction
or amalgamation) or shall call a meeting of or to make any arrangement
or composition with creditors or commit any act of bankruptcy.
Until
such time as payment has been made in full, the goods shall remain with
the Purchaser or the ultimate customer to the order of the Company and
the Company shall be entitled to enter upon such premises as the goods
are being kept for the purpose of removing the said goods.
Repossession
of the goods by the Company shall not operate to terminate any claim in
law or in Contract for loss of profit arising by reason of the
Purchaser's
or any Third Party's default.
LAW
The Contract shall be deemed to have been made in England and shall
in all respects be construed and operate in accordance with English
Law.
ADDITIONAL COSTS
Should the Company incur extra cost owing to suspension of work by
the Purchasers instructions, interruptions, delays, overtime, unusual
hours,
mistakes or work for which the Company is not responsible, a reasonable
sum in respect of such extra cost shall be added to the contract price
and paid accordingly.
In the event that the work cannot be completed through no fault of
the Company and this state of affairs has existed for thirty days all
costs
incurred by the Company including extra costs incurred during the
period
when work has ceased shall be charged and paid accordingly without
prejudice
to any other rights the Company may have under the contract.
If a cheque (or other payment format) is returned or declined by the
Company's bank, the Purchaser will be responsible for all bank charges
resulting from the returned or declined cheque.
BACK-UP COPIES
The Company reserves the right to permanently delete back-up copies
of documents on a regular basis. The Purchaser must make clear in
writing at the time of order if any special requirements for back-up
are
necessary.
